Job Description

  • Support the Board of Directors and its subcommittees to ensure they operate in accordance with the related rules and regulations and functions efficiently and effectively
  • Support Board of Directors, subcommittees of subsidiaries and associate companies in terms of Board meetings, corporate & legal documents, shareholders meetings.
  • Support Investor Relations functions in arranging meetings with analysts, investors, brokers, banks
  • Ensure full compliance with the relevant laws, rules & regulations.
  • Prepare draft documents for the Board, subcommittees in Thailand (including Board of Directors, SD&CG committee and Nomination and Remuneration committee and AGM/EGM) meeting notice, presentation, resolution and relevant documents in English and Thai
  • Prepare draft documents for the Board of Directors in subsidiaries (including Board of Directors meetings, and AGM/EGM) meeting notice, presentation, resolution and relevant documents in English and Thai
  • Prepare draft content for 56-1 One report
  • Organize AGM and/or EGM of Tipco Asphalt PLC
  • Monitor changes in relevant legislation and the regulatory environment and take appropriate action
  • Draft submission for CG Rating, AGM Checklist, CAC recertification (every 3 years), Best IR Awards
  • Prepare draft IR presentation, press release, IR monthly report and other documents
  • Monitor corporate news, analyst reports
  • Ensure the information and figures in the Company’s website in IR section is accurate and in accordance with relevant rules and regulations
  • Coordinate and arrange analyst meetings, Opportunity Day, company visits, and other activities related to investors relations

Qualifications

  • Bachelor’s or Master’s degree in Business Administration, Laws or any related fields
  • Possess basic knowledge of Listed Companies & Stock Exchange Acts.
  • At least 3 years of working experience in listed companies in Company Secretary function / Corporate Affairs department
  • Proficiency in both Thai and English (TOEIC at least 800)
  • Proficient in MS offices (Words, Excel, PowerPoint, Power BI)
  • Analytical, planning and organizing skills. Detail-oriented person
